§ 7.4 — RENEWAL & TERMINATION
This Agreement shall automatically renew for successive twelve (12) month periods unless either party provides written notice of non-renewal no fewer than ninety (90) days prior to the expiration of the then-current term.
Pricing shall be subject to an annual adjustment not to exceed CPI + 3.5% upon each renewal period, applied automatically without further notice to Buyer.
Failure to provide timely notice shall constitute irrevocable acceptance of the renewed term and adjusted pricing schedule.
